CMX/Terms of Service

CMX / LEGAL

Terms of Service

These terms set the ground rules for using CMX, publishing creator listings, working with brands, and managing campaigns and bookings.

Last updated 21 October 2026

These Terms of Service (“Terms”) form an agreement between you and Destiny Kelechi with its contact address at N/A (“CMX”, “we”, “us”, or “our”). They apply when you access or use the CMX website, marketplace, creator profiles and inventory, campaign tools, booking workflows, communications, payment or payout features, and related services (the “Service”). By creating an account, accessing an account, or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. What CMX does

CMX provides tools that help creators present their profiles and promotional inventory, help brands discover and evaluate creators, and help the parties organise campaign briefs, bookings, deliverables, evidence, and related payments or payouts. Particular features may change, be unavailable, or be limited by location, verification status, provider availability, or applicable law.

CMX provides marketplace and workflow technology. Unless a written agreement signed by CMX expressly states otherwise, CMX is not the creator's or brand's agent, employer, partner, or joint venture; does not guarantee that a match or campaign will succeed; and does not guarantee a creator's audience, performance, engagement, reach, availability, or future results. Users make their own commercial decisions and remain responsible for their own agreements and conduct.

2. Eligibility and accounts

  • You must be at least 18 years old and legally capable of entering into a binding agreement.
  • If you use CMX for a company or brand, you confirm that you are authorized to act for that organization.
  • You must provide information that is accurate, current, and not misleading, and update it when it changes.
  • You are responsible for protecting your login credentials, keeping your account secure, and activity under your account, subject to rights you have under applicable law.
  • You must notify CMX promptly if you suspect unauthorized access or a security incident involving your account.
  • You may not impersonate another person, create accounts through fraud, evade a suspension, or transfer an account without our permission.

3. Creator profiles and listings

Creators are responsible for their profile information, portfolio, social links, rates, audience claims, inventory, availability, and all material they submit or publish. You must have the rights and permissions needed to share each image, video, logo, statistic, testimonial, and other item. Do not fabricate metrics, misrepresent access to an account, manipulate audience information, or claim a verification status CMX has not given you.

CMX may review, label, restrict, or remove a listing where reasonably necessary to protect users, address a report, comply with law, or enforce these Terms. A verification indicator or display of platform information is not a guarantee, endorsement, or assurance of future performance.

4. Brand accounts, briefs, and campaign materials

Brands are responsible for the accuracy and legality of their business details, briefs, product claims, campaign instructions, deadlines, usage requirements, supplied assets, and proposed compensation. You must have permission to use materials you supply and must not request that a creator publish unlawful, deceptive, discriminatory, defamatory, infringing, or otherwise prohibited content.

Brands must clearly communicate material requirements before a booking is accepted. If a brief or requested change materially changes the agreed scope, the parties should document the change through the available CMX workflow or a separate written agreement before proceeding.

5. Bookings and campaign agreements

A booking may become binding when the parties accept it through the CMX workflow or otherwise expressly agree to its terms. The booking summary, accepted campaign agreement, brief, checkout details, and any documented amendment may together specify the deliverables, publication window, deadlines, payment, cancellation terms, content rights, review process, and other obligations for that campaign. You must review these details before accepting a booking.

Each creator and brand is responsible for performing the obligations they accept, responding within agreed timeframes, providing accurate evidence, and acting in good faith. CMX may provide status tracking, notification, evidence, and dispute-support tools, but does not guarantee a result in every dispute and is not a substitute for independent legal advice. If these Terms conflict with an accepted campaign agreement on a campaign-specific matter, the campaign agreement controls that matter to the extent it expressly addresses it and the law permits.

6. Payments, fees, and payouts

Where payment or payout features are available, the applicable booking, checkout, or payout screen will show the relevant amount, currency, fees, and available payment options. You authorize CMX and its payment or payout providers to carry out the instructions you submit through those features. Payment processing may be provided by third parties, including Flutterwave where used for the transaction, under their own terms and privacy notices.

  • You must provide accurate payment, billing, and payout information and have authority to use the selected method or account.
  • Payment authorization, settlement, refunds, reversals, chargebacks, and payout timing may be affected by the payment provider, banks, fraud checks, outages, legal requirements, or incomplete information.
  • Any platform fee, cancellation charge, refund rule, milestone, or release condition applicable to a booking must be shown in the relevant booking, checkout, or campaign terms.
  • You are responsible for taxes, duties, reporting, and business obligations arising from your activity, except where the law requires CMX or a provider to collect, withhold, or report an amount.
  • Do not submit another person's financial details without authority. CMX may pause a payment or payout while verifying an instruction, investigating suspected fraud, or complying with law.

CMX is not a bank. The existence of a payment status, balance, hold, or release workflow does not by itself create a bank deposit, insurance, or regulated escrow arrangement. The legal and operational treatment of any held or conditional funds must be described in the applicable booking/payment terms and must comply with relevant law. Do not rely on a payment being irrevocable or immediately available unless the applicable screen or provider confirms it.

7. Cancellations, refunds, and disputes

Campaign-specific cancellation, refund, revision, delivery, and dispute procedures are those shown in the accepted booking or campaign agreement and applicable checkout terms. Notify the other party promptly when a problem arises and use any relevant CMX workflow to provide accurate information and evidence. CMX may review available records and apply the published workflow, but any assistance it offers is not a guarantee of mediation, arbitration, or a particular outcome.

Nothing in this section removes rights that cannot lawfully be excluded. A payment provider or bank may apply its own dispute and chargeback procedures, which can operate separately from a CMX booking dispute.

8. Content, intellectual property, and permissions

You retain ownership of content and materials you own, subject to the rights and licences you grant under these Terms and any campaign agreement. You grant CMX a non-exclusive, worldwide, royalty-free licence to host, store, reproduce, format, display, transmit, and otherwise process content you submit only as reasonably necessary to operate, secure, support, and provide the Service and the features you choose. This licence ends when the content is deleted from the Service, except for residual copies in backups, records that must be retained by law, and uses already made by recipients who were authorized to receive it.

Rights for a creator's campaign deliverables, including whether a brand may repost, edit, advertise with, license, or use them in paid media, should be expressly agreed between the creator and brand in the relevant campaign agreement. A brand does not receive broader intellectual-property rights merely by viewing a creator profile or paying for a booking unless the applicable agreement says so. Users must respect copyright, trademark, publicity, privacy, and other rights.

CMX and its licensors own the Service itself, including its software, interface, design, branding, and related intellectual property. These Terms do not grant you ownership of those materials. You may not copy, resell, reverse-engineer, or exploit the Service except as allowed by law or with our written permission.

9. Google Sign-In, YouTube, and third-party services

CMX may let you sign in through Google or connect a YouTube account. When you choose YouTube-related features, you also agree to be bound by the YouTube Terms of Service. Google's privacy practices are explained in the Google Privacy Policy. You can review and revoke Google access through Google security settings.

Third-party services are controlled by their respective providers and may have separate terms, availability, and policies. CMX is not responsible for a third party's independent service or for changes made by that provider, but CMX remains responsible for its own obligations under applicable law and these Terms.

10. Acceptable use

You must not use CMX to:

  • break the law, infringe another person's rights, commit fraud, launder money, or misrepresent a product, service, identity, audience, or transaction;
  • harass, threaten, discriminate against, exploit, or abuse another user;
  • upload malware, probe or bypass security, interfere with the Service, scrape or harvest information without permission, or access accounts or data you are not authorized to access;
  • manipulate campaign evidence, fake performance metrics, evade payment, initiate deceptive chargebacks, or use another person's payment or payout account without authority;
  • publish personal, confidential, or copyrighted information without a lawful basis or permission;
  • misuse Google or YouTube integrations, evade their access controls, or use connected-platform data outside the purposes and permissions disclosed to the authorizing user; or
  • circumvent a restriction or suspension or use the Service in a way that creates an unreasonable security, legal, or operational risk.

11. Moderation and service changes

We may investigate reports and take reasonable measures where we believe conduct violates these Terms, threatens users or the Service, risks fraud, breaches third-party platform rules, or creates legal exposure. Measures may include removing content, limiting a feature, pausing a booking or payout where lawfully permitted, requesting further verification, or suspending or terminating an account. Where appropriate and lawful, we will try to provide information about a material restriction and a channel to contact support.

We may add, modify, suspend, or discontinue features. We will use reasonable efforts to avoid unnecessary disruption and will give notice where required by law or where a change materially affects an active paid service.

12. Privacy and data deletion

Our Privacy Policy explains how CMX collects, uses, shares, retains, protects, and deletes personal information. You can make a deletion request through the Data Deletion pageor by contacting support@joincmx.com. Deleting your CMX account does not delete content or records held independently by YouTube, a payment provider, another user, or another third-party service. For YouTube-related data, the separate requirements described in the Privacy Policy apply.

13. Disclaimers

To the maximum extent permitted by applicable law, the Service is provided on an “as available” basis. We do not promise uninterrupted or error-free operation, that every listing is accurate, that every user will perform, or that a campaign will achieve a particular commercial outcome. We do not guarantee third-party platforms, payment networks, banks, or external services will remain available or unchanged.

CMX does not provide legal, tax, accounting, investment, or professional advertising advice. Users should obtain independent advice where appropriate and are responsible for complying with advertising, influencer-disclosure, consumer-protection, intellectual-property, tax, employment, and other laws that apply to their activities.

14. Limitation of liability

Nothing in these Terms excludes or limits liability where such exclusion or limitation is prohibited by law, including any non-excludable consumer rights. Subject to that rule and to the final wording required by applicable law, CMX will not be liable for indirect, incidental, special, consequential, exemplary, or punitive loss, or for loss of profits, revenue, opportunity, goodwill, or data that was not reasonably foreseeable. CMX's aggregate liability arising from the Service must be limited only to the extent and in the manner permitted by the governing law selected for these Terms. This provision requires jurisdiction-specific legal review before production.

15. Indemnity

To the extent permitted by law, you are responsible for claims, losses, and reasonable costs arising from your content, your breach of these Terms, your violation of law or another person's rights, or your failure to perform an agreement you accepted with another user. This does not apply to the extent a claim results from CMX's own conduct for which liability cannot lawfully be shifted to you.

16. Suspension, account closure, and survival

You may stop using CMX and request account deletion using the process described in the Privacy Policy. Closing an account does not automatically cancel an active booking, remove a payment obligation, or erase records that must be retained by law. You should resolve or arrange any active booking, outstanding payment, content licence, or dispute before closure where possible. Provisions that by their nature should continue, including payment obligations, intellectual-property rights already granted, dispute handling, disclaimers, liability limits, and indemnities, continue to the extent permitted by law.

17. Changes to these Terms

We may update these Terms to reflect product changes, operational needs, or legal requirements. We will update the date shown on this page and provide notice or seek renewed acceptance when required by applicable law. If you do not agree to a material change, stop using the affected feature and contact support about any active transaction. A change will not retroactively remove rights that have already accrued except as permitted by law and the relevant agreement.

18. General provisions

These Terms, together with the Privacy Policy and any accepted booking or campaign agreement, form the agreement governing your use of CMX for the relevant subject. If any provision is unenforceable, the remaining provisions continue to apply to the extent possible. A failure to enforce a provision is not a waiver. You may not assign your rights or obligations under these Terms without permission, except where applicable law allows it. CMX may assign these Terms as part of a lawful restructuring or transfer of the Service. Nothing in these Terms creates an agency, employment, partnership, or joint venture between CMX and a user.

19. Governing law and disputes

These Terms are intended to be governed by the laws of GOVERNING LAW AND COURTS, AS CONFIRMED BY LEGAL COUNSEL, without overriding any mandatory consumer or data-protection rights that apply to you. The appropriate courts, pre-action steps, and any mandatory dispute-resolution requirements must be confirmed by qualified counsel for the actual CMX operating entity and jurisdictions where CMX serves users. Nothing here prevents a user from exercising a non-waivable right to bring a complaint before a competent regulator or court.

20. Contact

For questions about these Terms, bookings, payments, or general support, contact support@joincmx.com. For personal information and privacy requests, use the privacy contact listed in the Privacy Policy. The contact details and governing law must be completed and verified before these Terms are treated as final.
